Terms of Sale

1. Who you are contracting with

MetaDac FZE is the seller of record for all orders placed on dacos.dental, including orders dispatched from our fulfilment hub in Italy. Warehousing and dispatch are performed on our behalf by a contracted logistics provider.

By placing an order you accept these Terms. Read Section 2 first — it determines which rights apply to you.

2. Two types of buyer

2.1 Professional Buyer — you are ordering for purposes relating to your trade, business, craft or profession (dental laboratory, practice, clinic, distributor, reseller, institution, company or sole trader). Providing a VAT or business tax number at checkout, a company name, or a business delivery address classifies you as a Professional Buyer.

2.2 Consumer — you are a natural person ordering wholly outside your trade, business, craft or profession.

DACOS Omni is designed for professional dental laboratory use (Section 10). We nevertheless accept Consumer orders, and where you order as a Consumer the mandatory consumer protections of your country of residence apply in full and are not limited by these Terms.

3. Orders

3.1 Product listings are an invitation to order, not a binding offer. Your order is an offer to buy. The contract is formed when we send a dispatch confirmation or, for items not immediately available, written acceptance with a dispatch date.

3.2 We may decline or cancel an order before dispatch where the item is unavailable, there is a manifest pricing or description error, payment cannot be verified, the delivery address or importer identification is incomplete, or fulfilment would breach export control, sanctions or local import rules. Where we decline after payment, we refund in full within 14 days.

3.3 Prices are shown in US Dollars unless another currency is displayed.

4. Prices, VAT, duties and taxes

4.1 Italy. Italian VAT is charged at the applicable rate.

4.2 Other EU/EEA countries.

• Consumers: VAT of the destination Member State is charged at checkout and accounted for by us under the EU One-Stop-Shop scheme.

• Professional Buyers with a valid VIES-registered VAT number: zero-rated intra-EU supply (reverse charge). The number must be entered at checkout and validate on VIES; if it does not, VAT is charged.

• Goods dispatched from our Italian hub to another EU/EEA Member State are in free circulation. No import duties or customs charges apply to intra-EU deliveries.

4.3 Outside the EU/EEA. The supply is an export; no EU VAT is charged. Shipments travel DAP (Incoterms® 2020): import duties, import VAT or sales tax, clearance fees, brokerage and carrier handling charges in the destination country are payable by the receiver and are not included in the checkout price, unless the checkout expressly states "Duties & Taxes Included". We cannot predict or control these charges, and import charges paid in the destination country are not refundable by us.

4.4 You are responsible for supplying any importer identification required by your country (EORI, IEC, RFC, EIN, VAT or tax ID). Orders that cannot clear customs because this was not supplied are governed by the Shipping & Delivery Policy.

5. Shipping and delivery

Shipping origin, dispatch times, delivery estimates, transfer of risk, lost or delayed parcels and customs handling are governed by the DACOS Shipping & Delivery Policy, incorporated into these Terms by reference.

In summary: orders are dispatched from our fulfilment hub in Italy using FedEx internationally and Poste Italiane within Italy. Dispatch times are commitments; transit times are carrier estimates and are not guaranteed.

6. Intellectual property

6.1 Content. All content on this website and connected platforms — text, images, product designs, photography, graphics, logos, instructional material, video and interface design — belongs to MetaDac FZE or its licensors. You may not reproduce, distribute, modify, publicly display or commercially exploit it without our prior written consent.

6.2 Trade marks. DACOS and the DACOS logo are registered trade marks of MetaDac FZE in the European Union (EUIPO reg. 019183415 and 019183453) and in Italy (UIBM reg. 302024000117649 and 302024000117643), in classes 9 and 10. The ® symbol is used in relation to those territories; elsewhere the marks are used as unregistered trade marks and remain our property.

DACOS Omni™, ZeroDrift™, ShieldBase™, DockingMatrix™, TrueZero™, DACademy™ and StepLock™ are trade marks of MetaDac FZE.

Use of any of these marks without our written authorisation is prohibited.

6.3 Patent and design rights. The DACOS Omni system — including its adapter plates, calibration method, attachment geometry and magnet placement tools — is the subject of a pending international patent application under the Patent Cooperation Treaty. The geometry is additionally protected by international design registration under the Hague System. Unauthorised reproduction, manufacture or distribution of any component covered by these rights may result in legal action.

7. Software, libraries and digital files

7.1 Licence. On valid purchase of a DACOS Omni product we grant you a limited, non-exclusive, non-transferable, revocable licence to use the associated digital files (CAD libraries, attachment libraries, plate libraries, calibrator STL files, offset tester files and other downloadable content supplied through DACademy or another official channel) solely for your own internal laboratory production, in connection with the hardware you purchased.

7.2 Prohibited uses. Without our prior written consent you may not:

• distribute, share, upload, forward or otherwise make available any DACOS digital file to a third party, commercially or otherwise;

• post DACOS files on any file-sharing platform, forum, cloud storage service, social network or peer-to-peer network;

• resell, sublicense or bundle DACOS digital files with any other product or service;

• supply DACOS files to competing manufacturers, resellers or any entity not authorised by us.

7.3 Reverse engineering and geometry protection. The DACOS Omni system contains proprietary geometries, attachment designs, socket configurations, calibration references and mechanical interfaces developed at significant cost. The following are prohibited:

• reverse engineering, decompiling, disassembling, measuring, scanning or otherwise analysing the STL files, CAD libraries or physical components for the purpose of replicating or deriving equivalent or substantially similar geometries, designs or systems;

• using any DACOS digital file, including STL geometry data, as a reference, template or basis for competing or derivative products;

• extracting dimensional data, tolerances, offset specifications, socket geometry or calibration references to develop any unauthorised product or system;

• manufacturing, 3D printing or producing any physical component incorporating or substantially derived from DACOS proprietary geometry.

Nothing in this clause restricts acts that cannot lawfully be excluded under mandatory provisions of applicable law.

Breach of this Section is a material breach and may result in immediate licence termination, injunctive relief and claims for damages.

7.4 Third-party CAD software. Unless the product page states otherwise, DACOS hardware kits do not include any CAD or CAM software licence (for example exocad, 3Shape, Blender for Dental). DACOS libraries for supported platforms are distributed separately by us or our authorised partners; availability, pricing and distribution may differ by platform and region.

7.5 DACademy access. Accounts are personal, non-transferable and tied to the email address used at purchase. DACademy content is proprietary and subject to Section 6.

7.6 Consumers — digital content and withdrawal. Where you order as a Consumer and we begin supplying digital content or platform access before the 14-day withdrawal period expires, we ask you at checkout for your express prior consent to begin immediately and your acknowledgement that you thereby lose the right of withdrawal for that digital content. The right of withdrawal for the physical hardware is unaffected.

7.7 Termination. We may revoke the licence and suspend DACademy access where you are in breach of this Section. On termination you must destroy all copies of DACOS digital files in your possession.

8. Legal guarantee of conformity

8.1 Consumers in the EU/EEA. You have a statutory guarantee of two years from delivery under Directive (EU) 2019/771 as implemented in your country. Within that period you may require repair or replacement and, where those are unavailable, disproportionate or unsuccessful, a price reduction or termination with refund. These rights are free of charge, additional to Section 9, and are not limited by these Terms.

8.2 Professional Buyers. Apparent defects must be notified within 8 days of delivery and latent defects within 8 days of discovery, in each case within 12 months of delivery.

8.3 Disclaimer (Professional Buyers only). To the maximum extent permitted by law, and other than as set out in Sections 8.2 and 9, products and the website are provided "as is" and we exclude implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the website will be uninterrupted, error-free or free of security vulnerabilities.

9. Returns, refunds and accuracy claims

Cancellation, returns, refunds and accuracy-related claims are governed by the DACOS Returns, Refunds & TrueZero™ Verification Policy, incorporated into these Terms by reference. It contains the Consumer 14-day right of withdrawal, standard returns, the TrueZero™ Verification Programme, non-returnable items and refund mechanics.

10. Intended use and product safety

DACOS Omni is designed for professional use in dental laboratories by trained technicians. It is laboratory equipment: not intended for direct intraoral application on patients and not supplied as a medical device for patient use.

Correct installation and use require following the official DACOS setup and calibration procedures. We are not responsible for outcomes resulting from improper installation, mismatched offsets, incompatible materials or deviation from the documented workflow.

Safety information. DACOS kits contain small, strongly magnetised components and, in some kits, cyanoacrylate adhesive. Keep magnets and small parts out of reach of children — swallowed magnets can cause serious internal injury requiring emergency treatment. Keep magnets away from pacemakers, implanted medical devices and magnetic storage media. Handle adhesives in a ventilated area and follow the supplier's safety data sheet.

11. User content

If you submit content to us (reviews, feedback, testimonials, case images), you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt and display it for promotional and operational purposes. You may withdraw this licence for future use by writing to info@dacos.dental. You are responsible for ensuring your submissions do not infringe third-party rights — do not submit content containing patient-identifying information.

Nothing in these Terms restricts your right to publish an honest review, and we will never condition a refund, replacement or support on the removal or alteration of a review.

12. Product information

Availability, pricing and specifications may change without notice; changes do not affect confirmed orders. Colours, sizes and visuals may vary due to screen rendering. Minor cosmetic variations that do not affect function are not defects.

13. Account security and acceptable use

13.1 Accounts. Where you create a store or DACademy account you are responsible for keeping your credentials secure and for activity under your account. Accounts may not be transferred, sold, assigned or licensed to another person.

13.2 Prohibited uses. You may not use this website or our services: for any unlawful or malicious purpose; to infringe our intellectual property rights or those of others; to harass, abuse, defame or harm any person; to transmit false or misleading information; to send unsolicited advertising or spam; to impersonate any person or entity; to upload viruses or malicious code; to collect or track the personal information of others; or to interfere with, bypass or circumvent security or authorisation measures.

13.3 Extraction and automated access. You may not reproduce, duplicate, copy, extract, sell or resell any portion of this website or its content, and you may not use any robot, spider, scraper, data-gathering or extraction tool, automated agent or similar means to access it, except for standard search-engine indexing. This applies in particular to product geometry data, library metadata, technical documentation and pricing.

13.4 Automated agents. Where software takes autonomous or semi-autonomous action on your behalf ("Agent") and accesses this website, the Agent must identify itself as such in the user agent string of every request, must not conceal that access originates from an Agent, must not mimic human interaction patterns or circumvent measures intended to distinguish automated from human use, and must respect any measure limiting automated access. We may restrict or block Agent access by technical means.

13.5 We may suspend or terminate access where we determine that this Section has been breached.

14. Limitation of liability

14.1 Consumers. Nothing here excludes liability for death or personal injury caused by negligence, for fraud, under applicable product liability law, or any other liability that cannot be excluded under the mandatory law of your country of residence.

14.2 Professional Buyers. To the maximum extent permitted by law we are not liable for indirect, incidental, consequential, special, exemplary or punitive damages, including lost laboratory revenue, cost of remakes, loss of professional reputation, lost time or productivity, loss of data, or third-party claims. Our total liability for any claim relating to an order shall not exceed the amount paid to us for that order.

15. Indemnity (Professional Buyers only)

Professional Buyers agree to indemnify and hold harmless MetaDac FZE, its officers, employees, agents and service providers against losses, damages, liabilities and claims, including reasonable legal fees, arising from (a) breach of these Terms, in particular the licence and geometry protections in Section 7 and the acceptable use provisions in Section 13, (b) violation of any law or third-party right, or (c) use of the products outside the documented workflow.

We will notify you of any claim covered by this Section. We may control the defence and settlement at your expense, but will not settle any claim imposing non-monetary obligations on you without your consent, not to be unreasonably withheld.

This Section does not apply to Consumers.

16. Governing law and jurisdiction

16.1 These Terms are governed by the laws of the United Arab Emirates, with primary reference to UAQ Free Zone jurisdiction. The competent courts of the United Arab Emirates, including the Dubai courts, have exclusive jurisdiction. This applies in full to Professional Buyers.

16.2 Consumers. The choice of law above does not deprive a Consumer of the protection afforded by provisions that cannot be derogated from under the law of their country of habitual residence. A Consumer habitually resident in the EU/EEA may bring proceedings before the courts of their own country and may be sued only before those courts. Where mandatory local consumer law conflicts with these Terms, that law prevails for that Consumer.

16.3 We are not obliged to participate in proceedings before a consumer arbitration board. Consumers may contact the competent national consumer dispute body in their country. Please contact info@dacos.dental first — most matters are resolved directly.

16.4 Where these Terms are published in other languages, the English version prevails in case of conflict, save where mandatory consumer law requires otherwise.

17. Suspension of access

We may suspend or terminate access to dacos.dental, DACademy and connected services if you breach these Terms or the licence in Section 7, engage in fraudulent or abusive conduct, or act in a way reasonably considered harmful to our business, intellectual property or other users. This does not affect accrued rights under Sections 8 and 9.

18. Platform and third-party links

18.1 Store platform. Our online store is powered by Shopify, which enables us to provide it to you. All sales and purchases in our store are made directly with MetaDac FZE. Shopify is not responsible for any aspect of a sale between you and MetaDac FZE, including any injury, damage or loss resulting from products purchased.

18.2 Third-party links. This website may link to third-party sites for convenience. We do not endorse and are not responsible for their content, products, services or practices.

19. General

19.1 Severability. If any provision of these Terms is held unlawful, void or unenforceable, it shall be enforced to the fullest extent permitted and the unenforceable part severed, without affecting the validity of the remaining provisions.

19.2 Waiver and entire agreement. Our failure to exercise or enforce any right does not waive it. These Terms, together with the policies referenced in them, constitute the entire agreement between you and us regarding your purchase, superseding prior versions and communications. Ambiguities shall not be construed against the drafting party.

19.3 Assignment. You may not transfer or assign these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer them, including to a successor in business, without affecting your rights.

19.4 Errors. Information on this website may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct these and, where an order was placed on manifestly incorrect information, change or cancel the order under Section 3.2, refunding in full.

19.5 Headings are for convenience only and do not affect interpretation.

20. Changes

We may update these Terms to reflect changes in our operations, products, intellectual property or legal obligations. The version applicable to your purchase is the one published when your order was placed. The current version is always available at dacos.dental with its effective date.
